1. Acceptance of these terms

CanvasCircle ("we," "us," "our") provides an online platform at canvascircle.art that lets users list artworks for sale and lets buyers browse those listings ("the Service"). By creating an account, signing in, posting a listing, or browsing the Service, you agree to these Terms of Use ("Terms"). If you don't agree, don't use the Service.

These Terms form a binding contract between you and CanvasCircle. They apply together with our Privacy Policy, which is incorporated by reference.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract under the laws of your jurisdiction to use the Service. By using the Service, you represent that you meet these requirements.

If you're using the Service on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

3. CanvasCircle's role — we are a venue, not a party

CanvasCircle is a listing platform, not a marketplace operator, broker, escrow agent, payment processor, art authenticator, appraiser, or shipper. We provide infrastructure that lets sellers create listings and lets buyers find them. That's it.

We are not a party to any agreement, transaction, sale, or dispute between users. Specifically:

Any agreement to buy, sell, ship, or pay for an artwork is solely between the buyer and the seller. CanvasCircle has no involvement, financial or otherwise, in those agreements.

4. Accounts and your responsibilities

We may suspend, restrict, or terminate any account at our sole discretion, with or without notice, for any reason, including suspected violations of these Terms.

5. Listings — seller obligations

If you list an artwork on CanvasCircle, you represent and warrant that:

You are solely responsible for the content of your listings, including any inaccuracies. CanvasCircle has no obligation to review, edit, or moderate listings, but we may do so at our discretion. The fact that a listing is visible on the Service does not mean we have endorsed, verified, or approved it.

6. Prohibited content and conduct

You may not use the Service to:

We may remove any listing or content, suspend or ban any user, and report illegal activity to law enforcement at our sole discretion.

7. Transactions, payments, and shipping

All transactions are directly between buyer and seller. You agree that:

Our published Buying, Shipping, and Selling Guidelines are recommendations only. Following them does not create any guarantee or obligation on our part.

8. Disputes between users

If you have a dispute with another user — for example, a buyer claims an artwork was misrepresented, a seller claims a buyer didn't pay, or someone claims a shipment never arrived — that dispute is between you and the other user. CanvasCircle is not a mediator, arbitrator, decision-maker, refund issuer, or financial backstop.

You release CanvasCircle, its operators, employees, contractors, and agents from any claims, demands, damages, and liability of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

You may, of course, pursue your remedies against the other user under applicable law.

9. Fees

The Service is currently free to use. We do not charge listing fees, commission, success fees, transaction fees, or subscription fees. We reserve the right to introduce fees in the future, with reasonable advance notice via the Service or email.

10. Intellectual property and DMCA

Our content

The CanvasCircle name, logo, design, code, and text on the Service (other than user-submitted listings) are owned by us or our licensors and are protected by copyright, trademark, and other laws. You may not copy, modify, or republish them without our written permission.

Your content

You retain ownership of the listings, photos, descriptions, and other content you upload ("Your Content"). By uploading Your Content, you grant CanvasCircle a worldwide, non-exclusive, royalty-free, sublicensable license to host, display, reproduce, distribute, and adapt Your Content for the purpose of operating, promoting, and improving the Service. This license ends when you remove Your Content from the Service, except where it has already been shared with other users or where retention is required by law.

You represent that you have all rights necessary to grant this license and that Your Content does not infringe any third party's rights.

Copyright complaints (DMCA)

If you believe content on the Service infringes your copyright, send a notice to our designated DMCA agent that contains: (a) your physical or electronic signature; (b) identification of the work claimed to be infringed; (c) identification of the allegedly infringing material and where it is on the Service (URL); (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized; and (f) a statement under penalty of perjury that the information is accurate and that you are authorized to act on the copyright owner's behalf.

Send notices to: gjscuderi@gmail.com with the subject line "DMCA Notice." We will remove allegedly infringing material in accordance with the DMCA and may terminate accounts of repeat infringers.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CANVASCIRCLE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, CANVASCIRCLE MAKES NO REPRESENTATION OR WARRANTY THAT (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) ANY LISTING IS ACCURATE, AUTHENTIC, COMPLETE, OR LAWFUL; (C) ANY USER IS WHO THEY CLAIM TO BE; (D) ANY TRANSACTION WILL BE COMPLETED OR SATISFACTORY; OR (E) ANY DEFECTS WILL BE CORRECTED.

YOU USE THE SERVICE AT YOUR SOLE RISK.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CANVASCIRCLE OR ITS OPERATORS, EMPLOYEES, CONTRACTORS, AGENTS, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF CANVASCIRCLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100). BECAUSE THE SERVICE IS CURRENTLY FREE, AMOUNTS PAID UNDER (A) WILL TYPICALLY BE ZERO.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. In that case, our liability will be limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless CanvasCircle and its operators, employees, contractors, agents, and licensors from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; (d) your violation of any law or third-party right; or (e) any transaction or dispute between you and another user.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.

14. Termination

You may close your account at any time by emailing us at gjscuderi@gmail.com. We may suspend or terminate your access at any time, with or without notice, for any reason or no reason, including violations of these Terms.

Sections of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, limitation of liability, dispute resolution, and miscellaneous provisions.

15. Changes to these terms

We may update these Terms from time to time. When we do, we'll update the "Effective date" at the top and, for material changes, give reasonable notice through the Service or email. Your continued use of the Service after changes take effect means you accept the updated Terms. If you don't accept them, stop using the Service and close your account.

16. Governing law and disputes with us

These Terms and any dispute between you and CanvasCircle are governed by the laws of the State of New Jersey, without regard to conflict-of-laws rules. You and CanvasCircle agree that any lawsuit between us must be brought exclusively in the state or federal courts located in Middlesex County, New Jersey, and you consent to the personal jurisdiction of those courts.

Nothing in this section limits either party's right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver. These Terms are the entire agreement between you and us regarding the Service.
